CONSTITUTION

of the

St. Croix Valley Music Teachers Association

in the

Wisconsin Music Teachers Association

ARTICLE I    Name

The name of this organization shall be the St. Croix Valley Music Teachers Association chapter in the Wisconsin Music Teachers Association.

ARTICLE II   Object

Section 1 - The association is organized exclusively for charitable, religious, educational, and scientific purposes, including, for such purposes  including , for such purposes the making of distributions to organizations that qualify as exempt organizations  under section 501c(3) of the Internal Revenue Code or any future tax code.

Section 2 - The object of this Association shall be to promote professional fraternity among music teachers, to stimulate professional growth among music teachers, and to support the objectives of the Wisconsin Music Teachers Association and the Music Teachers National Association.

ARTICLE III   Membership

Section 1 - Membership classifications in this Association shall be: Active, Associates, Honorary Life, and Student.

Section 2 - Membership privileges and dues are prescribed by the by-laws of the Association.

ARTICLE IV  Affiliation

All members of the Chapter shall hold mandatory membership in the Wisconsin Music Teachers Association and the Music Teachers National Association.

ARTICLE V  Officers

Section 1 - The officers of the Association shall be:  President, Vice-President, Secretary, and Treasury/Membership Chairperson.  The Executive Board shall consist of the officers, Auditions Chair, Archivist and Immediate Past President.

Section 2 - Procedures for the election of officers are specified in the by-laws of the Association.

ARTICLE VI  Meetings

Meetings of this Association shall be held at such time and place as are decided upon by the officers of the Association, but they shall be guided by the wishes of the membership.

ARTICLE VII  Quorum

Two-thirds of the active members present at the meeting shall constitute a quorum of the Association for the transaction of business.

ARTICLE X  Amendments

This Constitution may be amended at any  business meeting of the Association  by a two-thirds vote of the active members present and voting, the proposed amendment having been submitted to the members at least thirty (30) days prior to the voting.

ARTICLE XI  Tax Exempt Requirements

Notwithstanding any other provision of these articles, the Association shall not carry on any other activities not permitted to be carried on (a) by an organization exempt from federal income tax under section 501c(3) of the Internal Revenue Code or the corresponding provision of any future federal tax code, or (by) by an association, contributions to which are deductible under section 170c(2)of the Internal Revenue Code or the corresponding provision of any future federal tax code.

ARTICLE XII  Dissolution

Upon dissolution of the Association, assets shall be distributed for one or more exempt purposes within the meaning of section 501c(3) of the Internal Revenue Code, or the corresponding section of any future federal tax docs, or shall by distributed to the federal government, or to a state or local government, for a public purpose.  Any such assets not so disposed of shall be disposed box by a Court of Competent Jurisdiction of the county in which the principal office of the Association is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purposes.

BY-LAWS

ARTICLE I  Membership

Section 1 - Active membership is open to all persons professionally engaged in any field of musical activity.  Such membership provides the privileges of participation in the activities of the Association, holding office, and voting.

Section 2 - Associate membership is open to all persons not professionally engaged in any field of musical activity but who wish to support the program of the Association.  Such membership provides admission to all meetings of the Association, and a subscription to the American Music Teacher, but does not include the right to vote or hold office.

Section 3 - Upon the written recommendation of three SCVMTA members in good standing an Honorary Life membership may be conferred by majority vote of the SCVMTA membership.  This tribute should be to a meritorious service to music.  All rights and voting privileges shall be retained by those holding Honorary Life.

Section 4 - Student membership is open to any qualified music student subject to membership regulations.  Such membership provides admission to all programs of hat Association upon payment of the registration fee and a subscription to the American Music Teacher, but does not include the right to vote, to hold office, to enter students in WMTA Auditions or to apply for certification.

ARTICLE II  Fiscal Year, Dues

Section 1 - The fiscal year begins on July 1 and ends on June 30.  

Section 2 - The Board shall determine the amount of SCVMTA dues for all levels of membership over and above the WMTA and MTNA dues.

Section 3 - Honorary Life members shall be exempt for the payment of SCVMTA dues.

ARTICLE III  Duties of Officers

Section 1 - The President shall preside at all meetings of the Association, shall call and preside at meetings of the officers, shall appoint all standing committees, shall appoint all special committees, as needed, and shall perform all other duties implied by his/her title.

Section 2 - The Vice President shall assume all duties of the President in the absence of that officer, shall perform such other duties as may be designated by the President, and shall serve as Program Chairman.

Section 3 - The Secretary shall keep the minutes of all meetings of the Association and of the officers, shall see that the minutes are in legal form and properly preserved, and shall perform such other duties as may be assigned by the President. The Secretary shall also send thank you notes to guest speakers, non-member concert performers, and others as appropriate.

Section 4 - The Treasurer/Membership Chairperson shall be responsible for the payment of all bills authorized by the Association, shall keep an itemized account of all receipts and disbursements, and shall present an official report to the Association upon request.  He/she shall also present the new membership list by the October meeting and contact new teachers in area.

ARTICLE IV Election of Officers

Section 1 - The Nominating Committee shall consist of the Executive Board.

Section 2 - The Nominating Committee shall present the names of candidates at the last business meeting of the fiscal year, one for each of the elective offices.  Officers shall be elected by two-thirds vote of active members present.

ARTICLE V  Amendments

These By-laws may be amended at any business meeting of the Association by a two-thirds vote of the active members present and voting, the proposed amendment having been submitted to the members at least thirty (30) days prior to the voting.

 

This Constitution and By-laws (amended to add ARTICLE II - Section 1, ARTICLE XI, and ARTICLE XII) has been approved by a two-thirds majority of active members and is thereby signed by officers of the St. Croix Valley Music Teachers Association.
